Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using Sol Clock ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the App. These Terms constitute a legally binding agreement between you ("User", "you") and the developer of Sol Clock ("we", "us", "our").

We may update these Terms from time to time. Continued use of the App after the posting of revised Terms constitutes your acceptance of the updated Terms. We will update the "Last updated" date at the top of this page when material changes are made.

2. Description of Service

Sol Clock is an analogue clock and information dashboard application designed for the Solana Seeker phone (Android) that displays:

• An analogue clock face with customisable display options
• Live cryptocurrency price data for SOL (Solana) and SKR (Seeker) tokens
• Solana blockchain slot height
• World clock times with automatic daylight saving adjustments
• Wallet balance display (when the user opts in via wallet sign-in)
• Seeker Genesis Token (SGT) verification status
• Home screen widget with live price data
• Screensaver (DreamService) and nightstand modes

The App functions as a read-only information display tool. It does not and cannot execute financial transactions, swap tokens, transfer funds, manage portfolios, or provide financial advisory services of any kind.

Time display disclaimer: All time information displayed by Sol Clock (including the analogue clock face, digital readouts, world clock zones, date display, screensaver time, and widget time) is indicative only and derived from your device's internal system clock. The time shown is not independently verified, synchronised, or calibrated by the App. World clock times and daylight saving adjustments are approximate and based on your device's timezone database. Sol Clock is not a certified timekeeping instrument and must not be relied upon for navigation, aviation, maritime, medical, legal, financial trading, or any other time-critical purpose. You should always verify the time against an independent, reliable source when accuracy matters.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use this App. By using the App, you represent and warrant that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction
• You are not located in, a resident of, or a national of any jurisdiction subject to comprehensive international sanctions (see our Sanctions & Restricted Regions Policy)
• You are not listed on any applicable sanctions list, including but not limited to the US OFAC Specially Designated Nationals (SDN) List, EU Consolidated Sanctions List, UK OFSI Consolidated List, or Australian DFAT Consolidated List
• You are not acting on behalf of any sanctioned entity or person
• Your use of the App complies with all applicable laws in your jurisdiction

4. Not Financial Advice — Entertainment Purposes Only

You expressly acknowledge, understand, and agree that:

• Price data may be delayed, inaccurate, incomplete, stale, or entirely unavailable at any time
• The App does not provide financial advice, investment recommendations, trading signals, or buy/sell/hold suggestions
• You must not rely on any data displayed by the App for investment, trading, financial, or any other decisions with financial consequences
• You should always consult qualified, licensed financial advisors in your jurisdiction before making any investment or financial decisions
• The developer is not a licensed financial advisor, broker, dealer, investment advisor, or fiduciary
• The App is not registered with or regulated by the Australian Securities and Investments Commission (ASIC), the US Securities and Exchange Commission (SEC), the US Commodity Futures Trading Commission (CFTC), the UK Financial Conduct Authority (FCA), the Monetary Authority of Singapore (MAS), the Japan Financial Services Agency (FSA), or any other financial regulatory authority in any jurisdiction
• The App does not require such registration because it does not provide financial services
• Cryptocurrency markets are highly volatile and speculative; past performance is not indicative of future results
• You assume all risk for any financial decisions you make, regardless of whether you viewed data in this App

5. Wallet Integration

Sol Clock uses Solana's Mobile Wallet Adapter (MWA) protocol for optional wallet sign-in. By connecting your wallet, you acknowledge and agree that:

• Sol Clock communicates with your wallet app locally on your device — no data is sent to external servers during the sign-in process
• Sol Clock receives only your wallet's public address and wallet app name
• Sol Clock never has access to your private keys, seed phrases, mnemonic phrases, or wallet passwords
• Sol Clock cannot initiate, sign, or execute any blockchain transactions
• The wallet balance displayed is retrieved from the public Solana blockchain and may be delayed or inaccurate
• You are solely responsible for the security of your wallet, private keys, and all associated assets
• You may disconnect your wallet at any time via the App's Settings screen

6. Seeker Genesis Token (SGT) Verification

The App can check whether a connected wallet holds a Seeker Genesis Token. This feature:

• Is purely informational — it verifies on-chain token ownership status
• Makes no representation about the value, utility, investment potential, or future prospects of SGTs
• Relies on on-chain data which may have propagation delays or temporary inconsistencies
• Should not be relied upon as the sole method of verifying SGT ownership for any consequential purpose

7. Third-Party Services and Data Sources

Sol Clock retrieves data from third-party APIs including Jupiter, Raydium, CoinGecko, and Solana RPC endpoints. You acknowledge that:

• We are not responsible for the availability, accuracy, reliability, or timeliness of third-party services
• Third-party services may experience downtime, rate limiting, data errors, or discontinuation without notice
• These services are governed by their own terms of service and privacy policies
• We do not guarantee that any particular data source will remain available
• Data may differ between sources and between the App and other platforms displaying similar data

8. Intellectual Property

8.1 Our intellectual property

The App, including its design, source code, graphics, user interface, compilation, and arrangement of content, is the original work of the developer and is protected by applicable copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

8.2 Your licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on a compatible device for your personal, non-commercial use.

8.3 Third-party trademarks

"Solana", "Seeker", "SOL", and related names, logos, and marks are trademarks of their respective owners (Solana Foundation, Solana Mobile, etc.) and are used in this App for identification and interoperability purposes only. Sol Clock is an independent project and is not affiliated with, endorsed by, or sponsored by the Solana Foundation or Solana Mobile Inc.

9. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Use the App for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to circumvent, disable, or interfere with any security features of the App, including sanctions region screening
• Use VPNs, proxies, or other tools to circumvent geographic restrictions imposed by the App
• Redistribute, sublicense, lease, rent, or sell the App or any portion thereof
• Use the App to scrape, harvest, or redistribute price data for commercial purposes
• Modify, adapt, or create derivative works based on the App
• Use the App in any manner that could damage, disable, overburden, or impair any third-party API or service
• Misrepresent the App as providing financial advice or professional services

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ANY WARRANTY THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY DATA OR CONTENT DISPLAYED BY THE APP
• ANY WARRANTY THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER OF SOL CLOCK BE LIABLE FOR:

• Any financial losses, including but not limited to losses from trading, investment decisions, or market activity, regardless of whether you viewed data in this App
• Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, business opportunities, or goodwill
• Damages arising from service interruptions, data inaccuracies, API unavailability, or display errors
• Damages arising from wallet connection, disconnection, or balance display errors
• Damages arising from the actions or inactions of third-party services
• Damages arising from inaccurate, delayed, or incorrect time display, including world clock times and daylight saving transitions
• Any damages exceeding the amount you paid for the App (which is zero, as the App is provided free of charge)

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless the developer of Sol Clock from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any financial decisions you make based on data displayed by the App
• Your use of the App from a sanctioned or restricted jurisdiction

14. Termination

We may suspend or terminate your access to the App at any time, without notice, for any reason, including but not limited to violation of these Terms or detection of use from a sanctioned jurisdiction. Upon termination:

• Your licence to use the App is immediately revoked
• You must uninstall the App from all devices
• Data stored locally on your device remains on your device (we have no ability to remotely delete it)
• Sections 4, 10, 11, 12, 13, 17, and 18 survive termination

15. Open Source and Third-Party Licences

Sol Clock uses open-source libraries which are subject to their own licence terms. Key dependencies include:

• AndroidX libraries (Apache License 2.0)
• Jetpack Compose (Apache License 2.0)
• Solana Mobile Wallet Adapter (Apache License 2.0)
• Kotlinx Serialization (Apache License 2.0)
• Seeker Verify library

Use of these libraries does not imply endorsement by their developers.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Notwithstanding the foregoing:

• If you are a consumer in the European Union, you retain any rights to bring claims in your jurisdiction of residence as provided by EU consumer protection law
• If you are a consumer in the United Kingdom, you retain any rights under UK consumer protection law
• Nothing in these Terms affects your statutory rights under the laws of your country of residence that cannot be contractually waived

18. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer & Risk Disclosure, Sanctions & Restricted Regions Policy, Copyright Notice, and Licence, constitute the entire agreement between you and the developer regarding your use of the App. They supersede all prior agreements, representations, and understandings.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

20. Waiver

No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right on one occasion shall not be construed as a waiver of any right on any subsequent occasion.

21. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, government action, network failures, blockchain network congestion or outages, third-party API failures, or changes in applicable law or regulation.
