Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using FarmSolDirect ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the App. These Terms constitute a legally binding agreement between you ("User", "you") and the developer of FarmSolDirect ("we", "us", "our").

We may update these Terms from time to time. Continued use of the App after the posting of revised Terms constitutes your acceptance of the updated Terms. We will update the "Last updated" date at the top of this page when material changes are made.

2. Nature of Service — Informational Only

FarmSolDirect is a farmer-to-market wholesale produce information application designed for the Solana Seeker phone (Android). The App provides:

• Reference pricing information for wholesale produce sourced from USDA and FAO data
• Seasonal crop calendar data sourced from the FAO Crop Calendar
• Approximate currency conversion via the Frankfurter API
• The ability for users to create buy requests and sell listings locally on their device
• The ability to share buy requests and sell listings via Android Intent (standard sharing)
• Optional Solana wallet connection via Sign In With Solana (SIWS)
• Seeker Genesis Token (SGT) verification status

3. No Transaction Processing

You expressly acknowledge, understand, and agree that:

• The App does not facilitate, process, execute, mediate, or guarantee any transactions of any kind
• The App does not handle payments, escrow, invoicing, or financial transfers
• The App does not arrange, coordinate, or manage shipping, delivery, logistics, or fulfilment
• The App does not verify the identity, credentials, licences, or legitimacy of any buyer or seller
• The App does not inspect, certify, or guarantee the quality, safety, or condition of any produce
• All dealings, negotiations, agreements, payments, and exchanges between buyers and sellers happen entirely outside the App and are solely between the parties involved
• We are not a party to any transaction, agreement, or arrangement between users
• We bear no responsibility for any transaction, dispute, loss, or outcome arising from dealings between users

4. Buy Requests and Sell Listings

The App allows users to create buy requests and sell listings locally on their device and share them via Android Intent (e.g. messaging apps, email, or other sharing targets). You acknowledge and agree that:

• Buy requests and sell listings are expressions of interest only — they do not constitute binding offers, contracts, or commitments
• Counter-offers and negotiations facilitated by shared information are informational only — no binding contracts are created through or by the App
• The App does not transmit, store, or process listings on any server or backend — all data remains local on your device until you choose to share it
• Once shared via Android Intent, the content leaves the App and is governed by the terms of whatever platform or channel you use to share it
• We have no visibility into, control over, or responsibility for any communications, negotiations, or agreements that occur after content is shared outside the App

5. Not Agricultural, Financial, or Legal Advice

You expressly acknowledge, understand, and agree that:

• Pricing data is approximate, may be delayed, inaccurate, incomplete, outdated, or entirely unavailable at any time
• Seasonal calendar data is approximate and based on general regional patterns — actual growing conditions vary by specific location, microclimate, elevation, soil type, and year-to-year weather
• Currency conversion rates are approximate and may not reflect current market rates
• You must not rely on any data displayed by the App for purchasing, selling, pricing, planting, harvesting, investment, or any other decisions with financial or agricultural consequences
• You should always consult qualified, licensed professionals (agricultural advisors, food safety officers, financial advisors, legal counsel) in your jurisdiction before making business or agricultural decisions
• The developer is not a licensed agricultural advisor, food safety authority, financial advisor, broker, or legal professional
• The App is not registered with or regulated by any agricultural, food safety, financial, or consumer protection authority

6. Food Safety and Regulatory Compliance

You acknowledge and agree that:

• You are solely responsible for verifying the quality, freshness, safety, and condition of any produce before purchasing, selling, consuming, or distributing it
• You are solely responsible for complying with all applicable food safety laws, regulations, standards, and codes in your jurisdiction, including but not limited to food handling, storage, transport, labelling, and traceability requirements
• You are solely responsible for obtaining and maintaining all necessary permits, licences, registrations, and certifications required for buying, selling, or distributing produce in your jurisdiction
• You are solely responsible for compliance with all applicable health, safety, environmental, and agricultural regulations
• The App does not verify, certify, or make any representation about whether any user, listing, product, or transaction complies with any applicable law or regulation
• The App does not provide allergen information, nutritional data, origin certification, organic certification, or any other food safety or quality assurance information
• Failure to comply with food safety regulations can result in serious illness, death, fines, criminal prosecution, and civil liability — none of which is the responsibility of the App or its developer

7. Information Accuracy

All data displayed by the App is approximate and provided for general reference only. You acknowledge that:

• USDA pricing data is sourced from publicly available United States Department of Agriculture publications. It reflects US wholesale market conditions and may not be applicable to your local market, region, or country. Prices may be delayed, averaged, or otherwise not reflective of current spot prices
• FAO seasonal calendar data is sourced from the Food and Agriculture Organization of the United Nations Crop Calendar. It provides general regional growing season guidance and may not accurately reflect conditions in your specific location
• Currency conversion data is sourced from the Frankfurter API and may not reflect real-time exchange rates. Rates are approximate and should not be relied upon for financial transactions
• All data may contain errors, omissions, or inaccuracies
• Data sources may change, become unavailable, or discontinue without notice
• We do not independently verify, audit, or guarantee the accuracy of any third-party data

8. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use this App. By using the App, you represent and warrant that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction
• You are not located in, a resident of, or a national of any jurisdiction subject to comprehensive international sanctions (see our Sanctions & Restricted Regions Policy)
• You are not listed on any applicable sanctions list, including but not limited to the US OFAC Specially Designated Nationals (SDN) List, EU Consolidated Sanctions List, UK OFSI Consolidated List, or Australian DFAT Consolidated List
• You are not acting on behalf of any sanctioned entity or person
• Your use of the App complies with all applicable laws in your jurisdiction

9. Wallet Integration

FarmSolDirect uses Solana's Mobile Wallet Adapter (MWA) protocol for optional wallet sign-in via Sign In With Solana (SIWS). By connecting your wallet, you acknowledge and agree that:

• FarmSolDirect communicates with your wallet app locally on your device — no data is sent to external servers during the sign-in process
• FarmSolDirect receives only your wallet's public address and wallet app name
• FarmSolDirect never has access to your private keys, seed phrases, mnemonic phrases, or wallet passwords
• FarmSolDirect cannot initiate, sign, or execute any blockchain transactions
• FarmSolDirect cannot transfer, spend, stake, or otherwise move any tokens or assets in your wallet
• You are solely responsible for the security of your wallet, private keys, and all associated assets
• Wallet connection is entirely optional and not required to use the App's core features
• You may disconnect your wallet at any time via the App's settings

10. Seeker Genesis Token (SGT) Verification

The App can check whether a connected wallet holds a Seeker Genesis Token. This feature:

• Is purely informational — it verifies on-chain token ownership status
• Makes no representation about the value, utility, investment potential, or future prospects of SGTs
• Relies on on-chain data which may have propagation delays or temporary inconsistencies
• Should not be relied upon as the sole method of verifying SGT ownership for any consequential purpose

11. Third-Party Services and Data Sources

FarmSolDirect retrieves data from third-party APIs and public data sources including the USDA, the FAO, the Frankfurter API, and Solana RPC endpoints. You acknowledge that:

• We are not responsible for the availability, accuracy, reliability, or timeliness of third-party services
• Third-party services may experience downtime, rate limiting, data errors, or discontinuation without notice
• These services are governed by their own terms of service and privacy policies
• We do not guarantee that any particular data source will remain available
• Data may differ between sources and between the App and other platforms displaying similar data
• The USDA, FAO, and Frankfurter API are independent organisations with no affiliation to or endorsement of this App

12. Intellectual Property

12.1 Our intellectual property

The App, including its design, source code, graphics, user interface, compilation, and arrangement of content, is the original work of the developer and is protected by applicable copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

12.2 Your licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on a compatible device for your personal, non-commercial use.

12.3 Public domain data

Public domain agricultural data sourced from government publications (USDA, FAO) remains in the public domain. The App's compilation, formatting, and presentation of such data is protected by copyright.

12.4 Third-party trademarks

"Solana", "Seeker", "SOL", and related names, logos, and marks are trademarks of their respective owners (Solana Foundation, Solana Mobile, etc.) and are used in this App for identification and interoperability purposes only. "USDA" is a trademark of the United States Department of Agriculture. "FAO" is a trademark of the Food and Agriculture Organization of the United Nations. FarmSolDirect is an independent project and is not affiliated with, endorsed by, or sponsored by the Solana Foundation, Solana Mobile Inc., the USDA, or the FAO.

13. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Use the App for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to circumvent, disable, or interfere with any security features of the App, including sanctions region screening
• Use VPNs, proxies, or other tools to circumvent geographic restrictions imposed by the App
• Redistribute, sublicense, lease, rent, or sell the App or any portion thereof
• Use the App to scrape, harvest, or redistribute pricing, seasonal, or availability data for commercial purposes
• Modify, adapt, or create derivative works based on the App
• Use the App in any manner that could damage, disable, overburden, or impair any third-party API or service
• Misrepresent the App as a marketplace, trading platform, or transaction processor
• Misrepresent buy requests or sell listings created in the App as binding offers or contracts
• Use the App to facilitate fraudulent, deceptive, or misleading trade practices
• Create listings for illegal, regulated, or prohibited goods

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ANY WARRANTY THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY PRICING DATA, SEASONAL DATA, AVAILABILITY DATA, CURRENCY CONVERSION DATA, OR OTHER CONTENT DISPLAYED BY THE APP
• ANY WARRANTY THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• ANY WARRANTY REGARDING THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF ANY PRODUCE REFERENCED IN OR THROUGH THE APP
• ANY WARRANTY THAT ANY TRANSACTION BETWEEN USERS WILL BE COMPLETED SUCCESSFULLY, HONESTLY, OR TO YOUR SATISFACTION

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER OF FARMSOLDIRECT BE LIABLE FOR:

• Any losses arising from transactions, dealings, agreements, or disputes between buyers and sellers, regardless of whether information from this App was used
• Any losses arising from produce quality, food safety, contamination, spoilage, or regulatory non-compliance
• Any financial losses, including losses from purchasing, selling, or pricing decisions made based on data displayed in the App
• Any agricultural losses, including crop failures, poor yields, or inappropriate planting decisions based on seasonal data in the App
• Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, business opportunities, or goodwill
• Damages arising from service interruptions, data inaccuracies, API unavailability, or display errors
• Damages arising from wallet connection, disconnection, or any wallet-related functionality
• Damages arising from the actions or inactions of third-party services or data sources
• Damages arising from inaccurate, delayed, or incorrect pricing, seasonal, currency, or availability data
• Any damages exceeding the amount you paid for the App (which is zero, as the App is provided free of charge)

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to indemnify, defend, and hold harmless the developer of FarmSolDirect from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any applicable laws or regulations, including food safety, agricultural, or trade regulations
• Any transactions, dealings, agreements, or disputes between you and any other party
• Any purchasing, selling, pricing, or other decisions you make based on data displayed by the App
• Any food safety incident, regulatory action, or claim arising from produce you buy, sell, or distribute
• Your use of the App from a sanctioned or restricted jurisdiction

18. Termination

We may suspend or terminate your access to the App at any time, without notice, for any reason, including but not limited to violation of these Terms or detection of use from a sanctioned jurisdiction. Upon termination:

• Your licence to use the App is immediately revoked
• You must uninstall the App from all devices
• Data stored locally on your device remains on your device (we have no ability to remotely delete it)
• Sections 3, 5, 6, 7, 14, 15, 16, 17, 21, and 22 survive termination

19. Open Source and Third-Party Licences

FarmSolDirect uses open-source libraries which are subject to their own licence terms. Key dependencies include:

• AndroidX libraries (Apache License 2.0)
• Jetpack Compose (Apache License 2.0)
• Solana Mobile Wallet Adapter (Apache License 2.0)
• Kotlinx Serialization (Apache License 2.0)
• Media3 / ExoPlayer (Apache License 2.0)
• OkHttp / Retrofit (Apache License 2.0)
• Seeker Verify library

Use of these libraries does not imply endorsement by their developers. Full licence texts are available in the Licence page.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

21. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Notwithstanding the foregoing:

• If you are a consumer in the European Union, you retain any rights to bring claims in your jurisdiction of residence as provided by EU consumer protection law
• If you are a consumer in the United Kingdom, you retain any rights under UK consumer protection law
• Nothing in these Terms affects your statutory rights under the laws of your country of residence that cannot be contractually waived

22. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer & Risk Disclosure, Sanctions & Restricted Regions Policy, Copyright & Data Attribution, and Licence, constitute the entire agreement between you and the developer regarding your use of the App. They supersede all prior agreements, representations, and understandings.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

24. Waiver

No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right on one occasion shall not be construed as a waiver of any right on any subsequent occasion.

25. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government action, network failures, blockchain network congestion or outages, third-party API failures, supply chain disruptions, or changes in applicable law or regulation.
