Software License Agreement

License Type: Proprietary. SolHerd is proprietary software. It may not be redistributed, modified, reverse-engineered, or used for commercial purposes without explicit written permission from ADappvark.
1. Grant of License
Subject to the terms and conditions of this Software License Agreement ("Agreement"), ADappvark ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- Download and install one (1) copy of SolHerd ("the Software") on a compatible Solana Seeker device that you own or control
- Use the Software for personal, non-commercial, educational, and entertainment purposes only
This licence is granted solely for the Software as distributed through the Solana Seeker dApp Store. No licence is granted for any other purpose or distribution channel.
2. Restrictions
You may not, directly or indirectly:
- Redistribute — Copy, distribute, publish, or share the Software or any portion thereof with any third party, whether for free or for a fee
- Modify — Alter, adapt, translate, or create derivative works based on the Software
- Reverse-Engineer — Decompile, disassemble, reverse-engineer, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Software
- Sublicense — Rent, lease, lend, sell, sublicense, or otherwise transfer the Software or any rights therein to any third party
- Remove Notices — Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software
- Commercial Use — Use the Software for any commercial purpose, including but not limited to offering services based on the Software or incorporating the Software into a commercial product
- Compete — Use the Software or any information derived from it to develop a competing product or service
- Circumvent — Bypass, disable, or circumvent any security, authentication, or access control mechanisms in the Software
3. Ownership and Intellectual Property
The Software is licensed, not sold. ADappvark retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not convey any ownership interest in the Software to you. All rights not expressly granted in this Agreement are reserved by ADappvark.
4. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
5. Limitation of Liability
IN NO EVENT SHALL ADAPPVARK BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADAPPVARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION, AND ANY OTHER TORT.
6. Term and Termination
This Agreement is effective from the date you first install or use the Software and continues until terminated.
This Agreement will terminate automatically if you fail to comply with any of its terms and conditions. ADappvark may also terminate this Agreement at any time, for any reason, with or without notice.
Upon termination:
- Your licence to use the Software is immediately revoked
- You must cease all use of the Software
- You must delete all copies of the Software from your devices
- Sections 2, 3, 4, 5, 8, 9, and 10 shall survive termination
7. Updates and Modifications
ADappvark may, at its sole discretion, release updates, patches, or new versions of the Software. Such updates may be subject to additional or modified licence terms. Continued use of the Software after an update constitutes acceptance of any revised terms. ADappvark is under no obligation to provide updates, support, maintenance, or bug fixes.
8. Export Compliance
You agree to comply with all applicable export and import laws and regulations, including those of Australia, the United States, and any other relevant jurisdiction. You shall not use the Software in any country or region subject to sanctions or trade restrictions. See our Sanctions & Restricted Regions page for details.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts of New South Wales, Australia, and the parties hereby consent to the personal jurisdiction and venue of such courts.
10. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired, and such provision shall be reformed to the minimum extent necessary to make it valid, legal, and enforceable.
11. Entire Agreement
This Agreement constitutes the entire agreement between you and ADappvark with respect to the licensing of the Software and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding the Software.
